3. MANAGED SERVICE STRUCTURE

Boox Automation operates as a managed service provider. Clients are purchasing managed services and functionality, not ownership of Boox Automation’s internal systems, automations, infrastructure, or software accounts. Clients are not provided direct access to Boox Automation’s internal systems or backend platforms unless explicitly agreed to in writing.

4. CLIENT RESPONSIBILITIES

The Client agrees to provide accurate business and contact information, and lawful business content. The Client must maintain legal compliance regarding communications with customers and obtain any legally required consent before contacting customers through SMS, phone, or email communications. The Client is solely responsible for compliance with TCPA regulations, CAN-SPAM regulations, local and federal communication laws, advertising laws, and customer communication consent requirements. Boox Automation does not provide legal compliance services.

5. MOBILE MESSAGING TERMS & CONDITIONS (A2P 10DLC)

By providing your phone number on booxautomation.com and proactively opting into our text messaging program via our calendar booking form, you explicitly agree to receive automated informational text messages, appointment confirmations, and reminders from Christian Snyder / Boox Automation.

  • SMS Use Cases & Program Description: Text messaging is strictly utilized for customer care purposes. This includes sending automated appointment reminders, scheduling updates, booking confirmations, or direct follow-up communications related to an existing inquiry. This program does not include marketing materials, advertisements, or promotional sales content.
  • Opt-Out Instructions (How to Cancel): You can cancel our text messaging service at any time. To stop receiving text messages, simply reply or text the word STOP to our business phone number. After you send the message "STOP" to us, we will send you a final confirmation SMS message to verify that you have been successfully unsubscribed. After this, you will no longer receive SMS messages from us.
  • Support Instructions (How to Get Help): If you are experiencing issues with our messaging program or need immediate assistance, you can reply or text the keyword HELP to our business phone number for support, or email us at [email protected].
  • Costs and Message Frequency: Standard message and data rates may apply for any messages sent to you from us and to us from you. If you have questions about your text or data plan, please contact your wireless provider. Message frequency varies directly based on your appointment schedule and inquiry activity.
  • Carrier Liability Disclaimer: Mobile wireless carriers and telecommunications networks (including but not limited to T-Mobile, Verizon, and AT&T) are not liable for delayed, misdirected, or undelivered messages.

6. PHONE NUMBER ACCESS AUTHORIZATION

In order to provide missed-call text-back and communication automation services, the Client authorizes Boox Automation to configure integrations and automations connected to the Client’s business phone number(s). The Client confirms they have authority to grant such access. The Client acknowledges that automated responses, SMS messages, or communication workflows may be sent through systems connected to the Client’s business phone number. The Client is solely responsible for ensuring proper customer consent exists for communications.

7. EMAIL ACCESS AUTHORIZATION

Where necessary for integrations or automation setup, the Client may provide access to business email accounts. The Client authorizes Boox Automation to use such access solely for implementation, integration, automation configuration, or service functionality.

8. PAYMENT TERMS

Services are billed on a recurring monthly basis unless otherwise agreed in writing. The standard monthly service rate is $300 per month unless otherwise agreed. By purchasing services, the Client authorizes recurring billing for active services. Failure to make payment may result in suspension of services, website downtime, removal of automations, disabling of integrations, or termination of services. Boox Automation reserves the right to suspend services for overdue invoices.

9. NO REFUND POLICY

ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. Due to the digital and service-based nature of the work provided, Boox Automation does not provide refunds for monthly service fees, setup work, development work, partial billing periods, unused time, or cancellations after billing. Cancellation of services only prevents future billing when applicable and does not create entitlement to refunds.

10. CANCELLATION POLICY

Clients may request cancellation of services by written notice. Cancellation requests must be submitted before the next billing cycle. Once cancellation is processed, future recurring billing may stop, services may be terminated, websites may be taken offline, automations may be disabled, integrations may be removed, and system access may be revoked. Boox Automation is not responsible for losses resulting from service termination after cancellation.

11. OWNERSHIP OF SYSTEMS AND ACCESS

All systems, automations, backend infrastructure, workflows, integrations, configurations, snapshots, templates, and internal operational systems used by Boox Automation remain the exclusive property of Boox Automation unless explicitly stated otherwise in writing. Upon cancellation or termination, access may be revoked, hosted systems disabled, and websites taken offline. The Client retains ownership of their business name, logos provided, trademarks, and original business information provided.

12. NO PERFORMANCE GUARANTEES

Boox Automation does not guarantee revenue increases, lead generation results, customer conversion rates, search engine rankings, customer retention, business growth, or uninterrupted service availability. Results may vary based on market conditions, competition, customer behavior, and external factors outside our control.

13. AI CHATBOT DISCLAIMER

AI-generated responses may contain inaccuracies. AI systems should not be relied upon for legal advice, medical advice, emergency advice, financial advice, or professional licensed advice. The Client is responsible for reviewing the suitability of chatbot behavior and automated communication flows. Boox Automation is not liable for damages resulting from AI-generated responses.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Boox Automation shall not be liable for lost profits, lost leads, lost business opportunities, indirect damages, incidental damages, consequential damages, data loss, communication failures, or downtime caused by third-party providers. Maximum liability for any claim shall not exceed the amount paid by the Client to Boox Automation during the thirty (30) days preceding the event giving rise to the claim.

15. TERMINATION OF SERVICES

Boox Automation reserves the right to suspend or terminate services for non-payment, abusive behavior, fraudulent activity, illegal activity, misuse of communication systems, or violation of these terms.

16. GOVERNING LAW

These Terms shall be governed under the laws of the State of Maryland, United States.
